INDEPENDENT CONTRACTOR AGREEMENT FOR BUSINESS DEVELOPMENT REPRESENTATIVE

This Independent Contractor Agreement (the “Agreement”) is made and entered into on the date the form is submitted, by and between Alinone Weddings & Events (the “Company”), and Contractor Name.

SERVICES. The Contractor shall perform the services of a Business Development Representative, which include, but are not limited to, the following duties:
(a) Develop new business opportunities for the Company;
(b) Prospect, qualify, and close sales opportunities with new clients;
(c) Perform any other duties as assigned by the Company.

COMPENSATION. The Contractor shall be compensated on a commission basis. The commission rate shall be 10% of the sales closed by the Contractor. Additionally, the Contractor shall have the opportunity to earn the following bonuses for each type of sale closed:
(a) General vendors: $35 per sale
(b) Food vendors: $50 per sale
(c) Sponsorship: A minimum of $250 per sale, which will be done by business leadership.

SCHEDULE. The Contractor shall have a flexible schedule and shall determine the number of hours per week or per month that he/she shall devote to the performance of the services under this Agreement.

EQUIPMENT. The Contractor shall provide all necessary equipment, including a laptop, phone, and transportation, to perform the services under this Agreement.

TERM. The term of this Agreement shall be for two months, commencing in April 2023, unless terminated earlier in accordance with the terms of this Agreement.

TERMINATION. Either party may terminate this Agreement at any time, for any reason or no reason.

INDEPENDENT CONTRACTOR STATUS. The Contractor is an independent contractor and not an employee of the Company. The Contractor shall sign a 1099 tax form and will be responsible for paying all taxes due on any compensation received under this Agreement. The Contractor shall not be entitled to any employee benefits, including, but not limited to, workers’ compensation, disability insurance, or unemployment insurance.

CONFIDENTIALITY. The Contractor shall keep confidential and shall not disclose any proprietary or confidential information of the Company.

ASSIGNMENT. The Contractor shall not assign or transfer this Agreement, or any right or obligation under this Agreement, without the prior written consent of the Company.

GOVERNING LAW. This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without giving effect to any principles of conflicts of law.

ENTIRE AGREEMENT. This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements between the parties. After this agreement is signed, the
